1 Acceptance of Terms

By installing, accessing, or using the Promptly Chrome extension ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use Promptly.

These Terms apply to all users of Promptly, including users of the Free plan and subscribers to the Pro plan. The Service is operated by Pluly ("we", "us", "our").

2 Description of Service

Promptly is a Chrome browser extension that allows users to save, organize, and insert reusable text prompts into AI chat platforms including ChatGPT, Claude, Gemini, Grok, Copilot, DeepSeek, and Perplexity.

The Service is offered in two tiers:

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible.

3 User Accounts

Free plan: No account is required. Promptly works immediately after installation with no sign-in.

Pro plan: You must sign in with a Google account to activate cloud sync and Pro features. You are responsible for maintaining the security of your Google account and for all activity that occurs under it.

You must be at least 13 years old (or 16 in the EU/EEA) to use Promptly. By using the Service, you represent that you meet this age requirement.

You agree to provide accurate information when signing in and to notify us at support@pluly.co if you believe your account has been compromised.

4 Acceptable Use

You agree to use Promptly only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to create, store, or distribute prompts designed to generate illegal, harmful, deceptive, or abusive content
• Attempt to reverse-engineer, decompile, or extract the source code of the extension beyond what is permitted by applicable law
• Use automated tools to scrape, overload, or otherwise abuse any Promptly backend service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Circumvent any technical measures we use to enforce usage limits (e.g., Free plan prompt caps)
• Resell, sublicense, or redistribute the Service or any part of it without our written permission
• Use the Service in any way that violates the terms of service of the AI platforms it integrates with (ChatGPT, Claude, Gemini, etc.)

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5 Subscription & Payments

Pro plan subscriptions are billed and managed through LemonSqueezy, our payment processor. By subscribing, you agree to LemonSqueezy's Terms of Service.

• Monthly plan: $4.99 / month, billed on the same day each month
• Annual plan: $39 / year (equivalent to $3.25/month), billed once per year
• Subscriptions renew automatically unless cancelled before the renewal date
• Prices are in USD. Applicable taxes may be added depending on your location
• We reserve the right to change pricing with at least 30 days' notice to existing subscribers

Pro features are activated immediately after successful payment confirmation via our webhook system. If activation is delayed, contact support@pluly.co.

6 Cancellation & Refunds

Cancellation: You may cancel your Pro subscription at any time from within the extension dashboard or by contacting support. Upon cancellation, your Pro access continues until the end of the current billing period. No further charges will be made after cancellation.

Refunds: We offer a 7-day money-back guarantee for new Pro subscriptions. If you are unsatisfied within the first 7 days of your initial subscription, contact support@pluly.co for a full refund. Refunds are not available for renewal charges or after the 7-day period.

7 Intellectual Property

The Promptly extension, including its code, design, branding, and all associated materials, is owned by Pluly and protected by copyright and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use Promptly solely for your personal or internal business use in accordance with these Terms.

Nothing in these Terms grants you any right to use Pluly's or Promptly's name, logo, or trademarks without our prior written consent.

8 Your Content

You retain full ownership of the prompts and content you create and store in Promptly ("Your Content"). We do not claim any ownership over Your Content.

By using the Pro plan cloud sync feature, you grant us a limited license to store and transmit Your Content solely to provide the Service to you. This license ends when you delete your content or close your account.

You are solely responsible for the content of your prompts and for ensuring they comply with applicable laws and the terms of the AI platforms you use them on.

9 Disclaimer of Warranties

Promptly is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We do not warrant that the Service will be uninterrupted, error-free, or free of bugs or viruses
• We do not guarantee compatibility with future versions of Chrome or changes made by AI platforms (ChatGPT, Claude, Gemini, etc.) to their interfaces
• We are not responsible for any loss of data caused by browser updates, extension conflicts, or other factors outside our control

AI platforms may update their interfaces at any time, which may temporarily or permanently affect Promptly's ability to inject the Smart Bar. We will make reasonable efforts to maintain compatibility but cannot guarantee continuous operation on third-party platforms.

10 Limitation of Liability

To the maximum extent permitted by applicable law, Pluly and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data, prompts, or business opportunities
• Loss of revenue or profits
• Damage caused by reliance on AI-generated content produced using prompts stored in Promptly
• Interruption of service due to third-party platform changes

In any case, our total aggregate liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $10 USD, whichever is greater.

11 Termination

By you: You may stop using Promptly at any time by uninstalling the extension. To delete your Pro account and all cloud data, contact support@pluly.co.

By us: We reserve the right to suspend or terminate your access to the Service at any time if we determine, in our sole discretion, that you have violated these Terms or are using the Service in a way that could harm Pluly, other users, or third parties. We will provide reasonable notice where possible, except in cases of serious violations.

Upon termination, your license to use the Service ends immediately. Sections 7, 8, 9, 10, and 13 of these Terms survive termination.

12 Changes to Terms

We may update these Terms from time to time to reflect changes in the Service, applicable law, or business practices. When we make material changes, we will update the "Last updated" date at the top of this page.

For significant changes, we will notify you via an extension update notice or email (if you have an account). Your continued use of Promptly after the effective date of updated Terms constitutes acceptance of those Terms.

13 Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If you have a dispute with us, please contact us at support@pluly.co before initiating any formal legal proceeding. We will make every reasonable effort to resolve disputes amicably.
